Terms of Service

Welcome to Studio.

These Terms of Service ("Terms") describe what you're buying when you use Studio, what CareyWorks, LLC agrees to provide, and what we expect from you in return.

We've written them in plain English. If anything is unclear, email us at carey@careyworks.com.

Studio is operated by CareyWorks, LLC ("careyworks," "we," "our," or "us"), a Texas limited liability company.

By creating an account, purchasing a Studio product, or using Studio, you agree to these Terms.

1. What Studio Is

Studio is a voice-first personal branding platform.

You provide information through voice recordings, documents, written responses, resumes, LinkedIn profiles, PDFs, and other materials. Studio uses artificial intelligence and the careyworks methodology to synthesize those inputs into a Persona Brief and support ongoing content creation aligned to that brief.

Studio is designed to help individuals clarify their positioning, communicate more consistently, and create content more efficiently.

Studio is a tool. It is not a guarantee of any business, career, marketing, audience, employment, financial, or professional outcome.

2. What You're Buying

Studio currently offers three customer products.

Studio Brief — $1,500 One-Time

A complete AI-generated Persona Brief based on your submitted materials and intake.

Includes:

• Persona Brief generation
• 30 days of platform access
• Brief export functionality

Studio Brief + Session with Carey — $3,500 One-Time

Everything included in Studio Brief, plus:

• Personal review and refinement by Carey Spence
• One 45-minute working session
• 30 days of revisions
• Unlimited brief re-synthesis during the active access period

If you sign a separate careyworks retainer agreement within 30 days of your working session, the full $3,500 may be credited toward your first month of retainer services, subject to the terms of that separate agreement.

Studio Subscription — $99/Month or $990/Year

Ongoing platform access including:

• Unlimited brief synthesis
• Content drafting
• Quarterly brief refresh prompts
• Platform updates and enhancements

An active or previously purchased Studio Brief is required to subscribe.

Separate Services

careyworks may also provide consulting services, managed communications engagements, licensing arrangements, workshops, speaking engagements, or other professional services.

Those services are governed by separate written agreements and are not covered by these Terms.

3. Your Brief Is Yours

When you purchase a Studio Brief or Studio Brief + Session, the resulting Persona Brief belongs to you.

You own:

• Your Persona Brief
• Your positioning
• Your narrative
• Your content pillars
• Your voice anchors
• Your synthesized recommendations
• Your exported brief files

You may use your brief for personal, professional, and commercial purposes.

You may publish content based on your brief, incorporate it into your business, and create derivative works from it.

What You Don't Own

You do not acquire ownership of:

• The careyworks methodology
• Studio prompts
• Intake frameworks
• Synthesis workflows
• Brief structures
• Platform architecture
• Software code
• Automations
• Underlying intellectual property used to create the brief

You may not:

• Reverse engineer Studio
• Replicate Studio's methodology
• Create competing products using Studio materials
• Extract or recreate Studio's workflows
• Use Studio outputs, prompts, methodologies, or materials to train, improve, or develop another AI system or competing commercial product

What you own is your brief. What we own is the method that produced it.

4. Account Requirements

You must be at least 18 years old to create an account.

You agree to provide accurate information during signup and throughout your use of Studio.

One account is intended for one individual unless otherwise authorized by careyworks.

You are responsible for maintaining the security of your account credentials.

Executive and Manager Use Cases

If you use Studio on behalf of another person, including an executive, employee, founder, or client, you represent that you have authority and consent to provide that person's information and materials for processing.

5. Acceptable Use

You agree not to:

• Misrepresent another person's identity
• Upload materials you do not own or have authority to provide
• Submit recordings of individuals without appropriate consent
• Generate content that violates applicable law
• Generate defamatory content
• Infringe intellectual property rights
• Resell Studio access
• Share account credentials
• Scrape Studio systems
• Extract Studio methodologies
• Circumvent billing systems
• Circumvent security controls
• Use Studio outputs, prompts, or methodologies to build competing products
• Use Studio outputs to train AI systems

Violation of these Terms may result in suspension or termination of access without refund.

6. Subscription Mechanics

Subscriptions are billed monthly or annually at the rate active when you subscribe.

You may cancel at any time.

There are:

• No cancellation fees
• No minimum subscription term
• No auto-converting free trials

Upon cancellation:

• Access remains active through the end of the paid billing period
• Your brief remains yours
• Previously exported materials remain yours

If subscription pricing changes in the future, existing subscribers remain on their current pricing unless they voluntarily switch plans.

Fair Use

Studio subscriptions are intended to provide generous access to platform features.

To maintain platform reliability and prevent abuse, careyworks reserves the right to implement reasonable usage limits, rate limits, safeguards, or restrictions if usage materially exceeds typical customer activity or creates disproportionate infrastructure costs.

Whenever reasonably possible, we will provide advance notice before implementing such limitations.

7. Refunds

Refunds are governed by our separate Refund Policy.

8. AI Synthesis and Platform Reliability

Studio relies on third-party AI systems and supporting technologies, including transcription, language-model, hosting, and infrastructure providers.

Output quality depends on:

• Information you provide
• Third-party AI systems
• Platform availability
• Inherent limitations of artificial intelligence

We commit to:

• Reasonable platform reliability
• Honest communication
• Good-faith efforts to resolve issues
• Ongoing product improvement

We do not guarantee:

• Business results
• Audience growth
• Revenue growth
• Lead generation
• Career advancement
• Reputation outcomes
• Continuous uninterrupted availability

Sometimes things break.

When they do, we'll do our best to fix them.

9. Responsibility for AI Outputs

Studio uses artificial intelligence to assist with transcription, synthesis, analysis, recommendations, and content creation.

Artificial intelligence can occasionally generate inaccurate, incomplete, misleading, outdated, biased, or otherwise imperfect outputs.

You are solely responsible for reviewing, editing, verifying, and approving all outputs before publishing, sharing, relying upon, or acting on them.

Studio supports your judgment. It does not replace your judgment.

careyworks is not responsible for decisions, actions, opportunities, losses, claims, or outcomes resulting from your use of AI-generated outputs.

10. Professional Advice Disclaimer

Studio is not a provider of legal, tax, accounting, financial, investment, employment, mental health, medical, or other regulated professional advice.

Any information generated by Studio is for informational and communication purposes only.

You should consult qualified professionals before making decisions in areas requiring professional expertise.

11. Changes to the Platform

We may add, modify, improve, suspend, or remove platform features over time.

If a change materially reduces the value of an active subscription, we will provide reasonable notice and may offer an appropriate remedy, including cancellation and a prorated refund where applicable.

12. Changes to These Terms

We may update these Terms as Studio evolves.

If a change materially affects customer rights or obligations, we will provide notice through email, the platform, or both.

Continued use of Studio after notice constitutes acceptance of the updated Terms.

13. Disclaimer of Warranties

To the maximum extent permitted by law, Studio is provided on an "as-is" and "as-available" basis.

careyworks makes no warranties, express or implied, including warranties of:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability
• Availability
• Uninterrupted operation

We do not guarantee that Studio will meet every expectation or operate without interruption or error.

14. Limitation of Liability

To the fullest extent permitted by law, careyworks' total liability arising out of or relating to Studio shall not exceed the amount you paid to careyworks during the twelve months preceding the event giving rise to the claim.

careyworks shall not be liable for:

• Indirect damages
• Consequential damages
• Special damages
• Punitive damages
• Lost profits
• Lost opportunities
• Business interruption
• Reputational harm

Some jurisdictions do not allow certain limitations or exclusions. In those jurisdictions, liability will be limited to the maximum extent permitted by law.

15. Governing Law

These Terms are governed by the laws of the State of Texas without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or your use of Studio shall be brought exclusively in the state or federal courts located in Tarrant County, Texas.

You consent to the jurisdiction of those courts.
